These Terms of Service (“Terms”) govern your access to and use of the website a01.in and all associated services operated by Alpha Zero One Studio (“A01 Studio”, “we”, “our”, or “us”).

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our website and services immediately.

1. Definitions

  • “Company” refers to Alpha Zero One Studio, operating as A01 Studio.
  • “Services” refers to all software development, design, consulting, and product services offered by the Company.
  • “Products” refers to proprietary software built and owned by the Company, including Creador.
  • “Client” refers to any individual or entity that engages A01 Studio for services.
  • “Website” refers to a01.in and its subdomains.
  • “User” refers to any visitor to our website or user of our services.

2. Acceptance of Terms

By using our website or services, you confirm that you are at least 18 years of age, have the legal authority to accept these Terms, and agree to comply with them. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Services & Engagement

3.1 Service Agreements

All client engagements for software development, design, or consulting services are governed by a separate Statement of Work (SOW) or Service Agreement signed between the Client and A01 Studio. In case of conflict between these Terms and a signed agreement, the signed agreement prevails.

3.2 Scope of Work

A01 Studio will perform services as defined in the agreed SOW. Any changes to the scope require a written amendment agreed upon by both parties.

3.3 Client Obligations

Clients agree to:

  • Provide timely feedback and required materials to enable A01 Studio to perform services
  • Designate a primary point of contact for the project
  • Make payments as per the agreed schedule
  • Not use our services for any unlawful, harmful, or deceptive purposes

4. Payment Terms

Unless otherwise specified in a signed agreement, the following payment terms apply:

  • A 50% advance payment is required before project commencement
  • The remaining 50% is due upon project completion and delivery
  • Invoices are payable within 14 days of issuance
  • Late payments may incur interest at 1.5% per month
  • All prices are exclusive of applicable taxes (including GST where applicable in India)

5. Intellectual Property

5.1 Client-Owned Work Product

Upon full payment, A01 Studio assigns to the Client all rights, title, and interest in the custom work product created specifically for that Client under the applicable SOW, including source code, designs, and documentation.

5.2 A01 Studio's Pre-Existing IP

A01 Studio retains all rights to pre-existing intellectual property, frameworks, libraries, tools, and methodologies used in the delivery of services. Clients receive a non-exclusive, non-transferable license to use such IP as incorporated into the deliverables.

5.3 Website Content

All content on the A01 Studio website (a01.in), including text, graphics, logos, and images, is the property of A01 Studio and protected by applicable intellectual property laws. Reproduction or distribution without written permission is prohibited.

5.4 Open Source

Some deliverables may incorporate open-source software. Such components remain subject to their respective open-source licenses, which will be disclosed to the Client.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the engagement for a period of 3 years. Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.

7. Our Products (Creador & Others)

A01 Studio operates independent software products, including Creador (creador.a01.in). Use of these products is governed by their own Terms of Service and Privacy Policies, separate from these Terms. References to our products on this website are for informational purposes only.

8. Website Use

You agree not to:

  • Use the website in any way that violates applicable laws or regulations
  • Transmit any unsolicited or unauthorized advertising or promotional material
  • Attempt to gain unauthorized access to any part of the website or its related systems
  • Use automated tools (bots, scrapers) to access the website without permission
  • Engage in any conduct that could damage, disable, or impair the website
  • Infringe upon the intellectual property rights of A01 Studio or any third party

9. Disclaimers

9.1 As-Is Basis

Our website is provided on an “as-is” and “as-available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Accuracy of Information

We make reasonable efforts to ensure the accuracy of information on our website, but we do not warrant that all content is error-free, complete, or current.

10. Limitation of Liability

To the maximum extent permitted by applicable law, A01 Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of our website or services, even if advised of the possibility of such damages.

A01 Studio's total liability for any claim arising from our services shall not exceed the amount paid by the Client for the specific services giving rise to the claim, in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless A01 Studio and its team members from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of our website or services, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate a service engagement with 14 days written notice. In case of material breach, the non-breaching party may terminate immediately. Upon termination, A01 Studio will deliver all completed work and the Client will pay for work completed up to the termination date.

We reserve the right to suspend or terminate access to our website at our sole discretion for violation of these Terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, India.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, internet outages, or other force majeure events.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised effective date. Continued use of our website after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with any signed Service Agreements, constitute the entire agreement between you and A01 Studio regarding your use of our website and services.
